
The Partnership (Scope of Work)
Bridged 212 Ltd agrees to provide the services outlined in your specific Statement of Work (SOW). Any work requested outside of that document will be considered "Out of Scope" and may require a separate agreement or additional fees.
The "Fixed-Fee" Guarantee
We believe in transparency. Unlike traditional agencies, we do not charge a percentage of
your ad spend. Our fees are fixed and agreed upon upfront. T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).
Payment Terms
Invoices are issued [Monthly/Upfront] and are due within [14] days.
Ad Spend
The client is responsible for paying the advertising platforms (Meta, Google, etc.) directly. Our fee covers our expertise and management, not the media cost
itself.
Intellectual Property (IP)
Our Work: Any "Winning" creative, copy, or strategies developed during our partnership belong to the Client—but only once all outstanding invoices are paid in full.•Our Methods: Our proprietary "Science of Growth" frameworks and internal testing processes remain the property of Bridged 212 Ltd.
Performance & The "Third-Party" Clause
While we use data and rigorous A/B testing to maximize your ROAS (Return on Ad Spend), we do not own Facebook, Google, or TikTok.

The client is responsible for paying the advertising platforms (Meta, Google, etc.) directly. Our fee covers our expertise and management, not the media cost
itself.

We cannot guarantee specific financial results or "overnight success." Marketing involves variables outside of our control (platform algorithm changes,
competitor activity, or global market shifts).
Our Commitment
We promise to follow the data and perfect your campaigns based on the scientific method described in our services.
Client Responsibilities
For the "Bridge" to work, we need your help. The client agrees to:

Provide timely access to Ad Accounts, Shopify backends, and Analytics.

Provide brand assets (logos, raw footage) as requested.

Ensure all products sold comply with UK laws and platform policies (especially relevant for food/perishables).
Termination & Cancellations
We believe in results, not "hostage" contracts.

Notice Period: Either party may terminate the agreement with [30 days] written notice.

Final Deliverables: Upon termination and final payment, we will hand over all active campaigns and creative assets to the client.
Limitation of Liability
Bridged 212 Ltd shall not be held liable for any indirect or consequential loss of profits, revenue, or data arising from the use of our services or changes in third-party platform policies.
